If you are interested in using Semantic Web Search in a manner that is not permitted by these terms or have questions regarding these terms we encourage you to contact us via email. License agreements are available for including Semantic Web Search as part of a Web site or commercial software product.
Intellidimension Inc ("Intellidimension") provides the services of Semantic Web Search (the "Service") for your personal use, subject to these Terms Of Service (the "TOS"), that may be modified at any time by Intellidimension without notification to you.
The Service is a Web site and software components that allow you to search for information that is published on the Web. A search is performed by submitting a query to the Service describing the information that you need. The Service returns to you the information contained in its database that matches the query (the "Search Results"). The Service can be accessed by you via a Web browser or other computer software. The Service uses an automated process to gather information that is published on the Web. The Service stores all information gathered from the Web in its database without screening. Search Results may contain false, misleading, or objectionable information. Intellidimension does not assume any responsibility for any information contained in the Search Results.
The Service is provided for your personal use only. You may not use the Service to:
(a) Sell a product or service.
(b) Reformat and publish Search Results for use by other persons.
You expressly understand and agree that:
(a) Your use of the Service is at your sole risk. the Service is provided on an "AS IS" and "AS AVAILABLE" basis. Intellidimension expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
(b) Intellidimension makes no warranty that (i) the Service will meet your requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and (v) any errors in the software will be corrected.
(c) Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
(d) No advice or information, whether oral or written, obtained by you from Intellidimension or through or from the Service shall create any warranty not expressly stated in the TOS.
You expressly understand and agree that Intellidimension shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Intellidimension has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Service; or (v) any other matter relating to the service.
Intellidimension may also in its sole discretion and at any time, discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TOS may be effected without prior notice. You agree that Intellidimension shall not be liable to you or any third-party for any termination of your access to the Service.
The TOS constitutes the entire agreement between you and Intellidimension and governs your use of the Service, superseding any prior agreements between you and Intellidimension (including, but not limited to, any prior versions of the TOS). The laws of the State of Vermont, U.S.A, shall govern the TOS and the relationship between you and Intellidimension without regard to its conflict of law provisions. You and Intellidimension agree to submit to the personal and exclusive jurisdiction of the courts located within Vermont, U.S.A. The failure of Intellidimension, to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the TOS are for convenience only and have no legal or contractual effect.
Neither party shall bring any legal proceeding in any court to settle any dispute arising out of or relating to the TOS except to compel mediation or arbitration, or to enforce the settlement or judgment resulting from such proceedings, or to pursue injunctive relief. If a dispute or controversy arises between the parties out of the TOS, the parties agree to submit the dispute to mediation in Vermont, U.S.A., with a neutral third party mediator in accordance with the Mediation Rules of the American Arbitration Association. Either party may initiate mediation proceedings by advising the other in writing setting forth the nature of the dispute. The mediation provisions of the TOS may be enforced by a court of competent jurisdiction in the same manner as a petition for arbitration. If mediation fails to resolve the dispute, upon written demand by either party, the dispute or controversy must be settled by arbitration in White River Junction, Vermont, U.S.A, in accordance with the Commercial Arbitration rules of the American Arbitration Association, and judgment upon the award rendered by the Arbitrator(s) may be entered by any court of competent jurisdiction. The Arbitrator(s) shall have no authority to award punitive damages or any other damages not measured by the prevailing party's actual damages, and may not, in any event make any ruling, finding or award that does not conform to the terms and conditions of the TOS.
